Pas de Deux Model Contract

 

This model Contract (this “Contract) is made effective as of Novemberr 15th, 2022 by and between Beth McKinney and Ron McKinney of Pas De Deux Photo, LLC (“PDD”) and “Dancer”.

 

PURPOSE OF CONTRACT. This contract is for the engagement of as a dance photography model. PDD will engage Dancer as a photographic model for the time period; Thursday, July 20, 2023 until Sunday, July 23, 2023.

 

DESCRIPTION OF SERVICES. Beginning on February 24th, 2022, Dancer will provide the following services (collectively, the “Services”)

 

Dance Modeling

 

PAYMENT FOR SERVICES. PDD will provide classes, seminars, workshops and photo modelling opportunities to Dancer for completion of the Services.  In return for these services, the Dancer will pay PDD $90.

 

LUNCH OPTION. PDD will provide lunches to the Dancers at a cost of $35 per day.  This is an optional choice for the Dancers.  These lunches cost PDD more than $60 each per day so we are subsidizing part of the dancer’s lunch.

 

TERM/TERMINATION. Dancer will commence work under this contract on July 20, 2023  and will continue to work intermittently until Sunday July 23, 2023 unless prior agreements were made between PDD and Dancer. This will be in effect unless PDD makes a good-faith determination, prior to that date that Dancer’s services are no longer needed. In that case, PDD may terminate this contract upon 14 days’ written notice. PDD may terminate this contract at any time if PDD is dissatisfied with Dancer ‘s performance or for other good cause.

 

WORKING HOURS. PDD will require Dancer to work no more than 8 hours on any day and no more than 24 hours over the weekend. Dancer will not be required to remain on call for more than 8 hours per day.

 

WARDROBE.  The Dancer will provide wardrobe for use in connection with the assignment.  The dancer may bring leos, tutus, or other wardrobe for the assignment   PDD will furnish some of Dancer’s apparel for use in connection with the assignment. All items furnished by PDD will remain the property of PDD. Any wardrobe not provided must be approved by PDD at the beginning of that day.

 

COMPLIANCE WITH EMPLOYER'S RULES. Dancer agrees to comply with all of the rules and regulations of PDD. The code of conduct that dancer and any parent and/or guardian must abide by is included.

 

RELATIONSHIP OF PARTIES. It is understood by the parties that Dancer is an independent volunteer with respect to PDD, and not an employee of PDD. PDD will not provide fringe benefits, including health insurance benefits, paid vacation, monetary compensations, room & board, or transportation, or any other employee benefit, for the benefit of Dancer.

 

WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the “Work Product”) developed in whole or in part by PDD in connection with the Services shall be the exclusive property of PDD. Upon request, Dancer shall sign all documents necessary to confirm or perfect the exclusive ownership of PDD to the Work Product.

 

CONFIDENTIALITY. Dancer will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Dancer, or divulge, disclose, or communicate in any manner any information that is proprietary to PDD. Dancer will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of the Contract. Upon termination of this Contract, Dancer will return to PDD all records, notes, documentation, wardrobe, and other items that were used, created, or controlled by PDD during the terms of this Contract. Parents and/or guardians will also abide by the above terms.

 

INJURIES. Dancer acknowledges Dancer’s obligation to obtain appropriate insurance coverage for the benefit of Dancer (and Dancer’s family and or guardian, if any). Dancer waives any rights to recovery from PDD for any injuries that Dancer (and/or dancer’s family/guardian) may sustain while performing services under the Contract and that are a result of the negligence of PDD or PDD’s employees.

 

INDEMNIFICATION. Dancer agrees to indemnify and hold harmless PDD from all claims, losses, expenses, fees including attorney fees, costs, and judgement that may be asserted against PDD that result from the acts or omissions of PDD, PDD’s employees, volunteers, speakers, attendees, and PDD’s agents.

 

ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other

promises or conditions in any other contract whether oral or written.

 

AMENDMENT. This Agreement may be modified or amended, if the amendment is made in writing and is signed by both parties.

 

SEVERABILITY. If any provisions of the Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of the Contract in invalid or unenforceable, but that is limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

 

APPLICABLE LAW. This Contract shall be governed by the laws of the State of Illinois and the laws of the State of Arizona.

 

SIGNATORIES. This Agreement shall be signed on behalf of PDD by Beth McKinney and Ron McKinney and on behalf of Dancer by: _______________________ and effective as of the date first written above.

Model Code of Conduct

 

Dancers must be present at the start of every day with their lanyard on and checked in to the dancer room.

 

Dancers must behave in a respectful manner at all times during the PDD conference. Rude remarks, unkind behavior, or disrespectful behavior of any kind will not be tolerated, and you will be excused from modeling for the remainder of the weekend without discussion over the matter.

 

Dancers must show up to assigned sessions at least 15 minutes before the start to ensure that they get all directions they may need for the session.

 

Dancers are not permitted to go on a shoot with a photographer without another dancer and photographer present and/or a PDD representative.

 

All dancers will attend all assigned sessions and participate to the best of their ability, and put forth 100% effort, energy, and enthusiasm.

 

Parents/Guardians will not be permitted in any of the rooms, seminars, classes, talks, photo areas, networking events etc. Only paying attendees, PDD models, or those with an Observer Band (limited access) will be permitted.

 

All decisions made about model assignments are decided by the PDD staff and will not be discussed.
